Terms of Service

These terms govern your use of Managist, a paid macOS desktop application sold through Paddle. Please read them carefully before purchasing or using the software.

Agreement to these terms

By purchasing, installing, or using Managist, you agree to these Terms of Service. If you do not agree, do not use the software.

License grant

Managist is sold as a perpetual license for the major version you purchased, with one year of included updates from the date of purchase. After the included update period, you may continue using the version you licensed, but future major-version upgrades may require a separate purchase.

License tiers are tied to the number of devices purchased: Starter (1 device), Basic (1 device), Personal (2 devices), and Team (3 or more devices). Each license key is tied to the device limit for the tier purchased.

License keys are non-transferable between individuals, but you may deactivate a device and activate the same license on another device within your device limit.

Refunds

Managist includes a 30-day money-back guarantee. Refund requests made within 30 days of purchase are honored without question through Paddle, our merchant of record.

Acceptable use

You agree not to:

  • redistribute, resell, sublicense, or otherwise make the software available to others;
  • reverse-engineer, decompile, or attempt to derive the source code or underlying ideas;
  • use the software in violation of applicable law;
  • abuse or interfere with license validation or update services.

Third-party services and API keys

You are responsible for your own API keys and any costs incurred through third-party LLM providers or other connected services. Managist does not control, endorse, or assume liability for third-party services.

Any use of Anthropic, OpenAI, Google, OpenRouter, or similar providers is subject to those providers’ own terms and policies.

Billing and Paddle

Paddle is the merchant of record for purchases. Purchase-related disputes, including billing questions, refunds, and chargebacks, are handled through Paddle’s resolution process.

Updates and license verification

The app may check for updates manually and verify license status periodically. These checks are limited to the information necessary to confirm entitlement and provide updates.

Termination

We may suspend or revoke a license if we reasonably believe it is being used fraudulently, abused, or in violation of these terms.

Disclaimer of warranties

Managist is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Managist and its owners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising out of or related to the software or these terms.

Changes to these terms

We may modify these Terms of Service from time to time. Continued use of Managist after changes become effective constitutes your acceptance of the updated terms.

Governing law

These terms are governed by the laws of the State of Arkansas, United States, without regard to conflict of law principles.
